Strategic Capital, Inc. (hereinafter referred to as “Strategic Capital”) is under a discretionary investment contract with INTERTRUST TRUSTEES (CAYMAN) LIMITED SOLELY IN ITS CAPACITY AS TRUSTEE OF JAPAN-UP (hereinafter referred to as the “Fund”) and the Fund and Strategic Capital (hereinafter referred to as “we”) are shareholders of SANYO DENKI CO., LTD. (hereinafter referred to as the “Company” or “SANYO DENKI”).
On April 15, 2026, we submitted the shareholders proposals to the Company for the annual shareholder meeting to be held this coming June. However, in light of changes to the Company’s market valuation since then, and explanations provided by the Company at the financial results briefing which indicate voluntary improvements can be expected with respect to the issues facing the Company, we hereby announce that we are withdrawing all the shareholder proposals that have been submitted.
